Terms of Use for AudioCodes AI Summary' Demo

Copy the 'Terms of Use' agreement below and then paste to the Terms and Conditions Content field under the AI Summary tab in the System Settings (see Configuring System Settings):

1. Introduction

Welcome to the demo of AudioCodes' AI Summary application (the demo and the AI Summary application shall be collectively referred to as the "Demo"). By accessing or using this Demo, or by clicking to accept or agree to the Terms of Use when this option is made available to you, you represent that you have read and understood and agree to comply with and be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not use the Demo. Your use constitutes acceptance of these Terms as at the date you are first provided with access to the Demo.

2. Privacy

Your use of the Demo is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information. If you do not agree to these Terms or to our Privacy Policy, you may not use the Demo.

3. Access

To access the Demo, you will be asked to provide certain registration details or other information, including your valid email address. You can request to have your email address removed from our records at any time by sending an email request to: Privacy@audiocodes.com. AudioCodes Ltd. ("we", "us", "our", "AudioCodes") has the absolute right to disable your use, or any other user's use, of the Demo, at any time and for any reason, including, if in our sole discretion we believe that you have failed to comply with any provision of these Terms.

4. Eligibility

The Demo is intended for use by individuals who are at least eighteen (18) years old. By using the Demo, you represent that you meet this age requirement.

5. License

Subject to the terms and conditions hereof, AudioCodes grants you a limited, non-exclusive, non-transferable, non-sublicensable, royalty-free, and revocable license to use the Demo for demonstration purposes only. You are strictly prohibited from using the Demo for any commercial purposes or for any purpose other than evaluating a potential purchase of our products or services. AudioCodes reserves all rights in the Demo not explicitly granted to you in this license.

6. Feedback

Any feedback, suggestions, ideas, or other information you provide to us regarding the Demo ("Feedback") will be the sole and exclusive property of AudioCodes. We shall be free to use, disclose, reproduce, license, or otherwise distribute and exploit such Feedback in any manner whatsoever without any obligation or compensation to you. You hereby irrevocably assign all rights, title, and interest in and to such Feedback to AudioCodes.

7. User Generated Content

The Demo allows you to transmit voice information (“User Material”). User Material will be transcribed and summarized by AI tools and will be sent to the email address you provided to us on registration. User Material will be deleted automatically by AudioCodes, without any notice, 30 days after being sent to your email box. To the extent permitted by law, you provide to AudioCodes a worldwide, non-exclusive royalty-free and perpetual right to use, distribute, copy, modify, display, and publish your User Material for any reason without any restrictions, including debug issues or usage monitoring, or payments to you or any third parties. You hereby waive, to the extent permitted by law, all claims against AudioCodes and its affiliates or any third party's use of the User Material. By creating, posting, streaming, transmitting or providing AudioCodes any User Material, you represent and warrant that your User Material does not infringe on the intellectual property or other rights of any third party and is not obscene, defamatory, offensive and you have the appropriate rights to use, create, post, distribute, transmit and provide User Material and to grant AudioCodes the foregoing license. You must cooperate with AudioCodes in resolving any dispute that may arise from your User Material.

8. Limitation of Liability

The Demo is provided for demonstrative and evaluation purposes only. The Demo and any information, names, images, pictures, logos regarding or relating to the Demo are provided "as is" and "as available" without any representations or warranties of any kind, either express or implied, including any warranties of merchantability, fitness for a particular purpose, and non-infringement. Without limiting the foregoing, in no event will AudioCodes’ total liability to you for all damages exceed $100.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law principles. The competent courts in Tel-Aviv, Israel will have the exclusive jurisdiction over any dispute that may arise in relation to these Terms.

10. Device Requirement and Support Disclaimer

The Demo is designed to operate exclusively in conjunction with an AudioCodes Meeting Room device that has been purchased by the customer. While AudioCodes is providing and supporting the Demo for evaluation purposes, this does not imply or include customer support for the Meeting Room device itself, unless such support has been separately acquired by the customer.

11. Future Commercial Use

AudioCodes reserves the right to introduce fees for the continued use of the Demo at a future date, following the conclusion of the evaluation period. You will be notified in advance of any such changes and continued use of the Demo after such notification may be subject to your acceptance of applicable commercial terms.
